Strategic partnership between Talanx AG and Meiji Yasuda Life Insurance Company will expire on December 31, 2025

The strategic partnership of Talanx AG with Meiji Yasuda Life Insurance Company (Meiji Yasuda) will expire by mutual agreement on December 31, 2025. Talanx therefore makes use of the termination option of the cooperation agreement agreed upon at the beginning of the partnership. The two partners have also agreed on the economic conditions under which the purchase options for the shares currently held by Meiji Yasuda in the Polish subsidiaries Towarzystwo Ubezpieczeń i Reasekuracji Warta S.A. (Warta) (24.3%) and Towarzystwo Ubezpieczeń Europa S.A. (TU Europa) (50.0% minus 1 share) can be exercised. Both companies are part of the Retail International division of the Talanx Group. It is expected that Talanx will acquire the remaining shares in Warta and TU Europa on this basis beginning of 2026, which in addition to the already held shares would contribute a mid-double-digit euro million amount (after minorities) to the group result.

"With this agreement, we have taken the first steps towards buying the remaining shares in Warta and TU Europa. This will further strengthen our earnings potential out of our core market Poland and we will fully participate in the successful strategic development of both companies in the future."

The acquisition of the remaining shares in Warta and TU Europa, subject to receipt of customary regulatory approvals, would allow Talanx to show 100% of the contribution to the group result (after minorities) and to been titled to receive 100% of the dividends paid. The transaction would also have a positive impact on earnings per share and the return on equity of the Talanx Group.

A purchase price in a mid-triple-digit million-euro range will be payable in the first quarter of fiscal year 2026.

HDI International AG, which is responsible for the retail and commercial insurance business outside of Germany in the Talanx Group, has been active in the Polish market with Warta since 2012. Warta is the secondlargest insurance company in Poland and generated insurance revenues of approximately 2.2 billion EUR in 2023 with around 3,000 employees. Furthermore, HDI International has been active in Poland with TU Europa since 2012. In 2023, TU Europa achieved insurance sales of a total of 150 million EUR with around 350 employees.

Meiji Yasuda Life Insurance Company was founded in 1881 and is an industry-leading life insurer with more than 47,000 employees. The company offers insurance products to more than 12.2 million customers in Japan.
